Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of options.xyz, its apps, pages and related services (the "Service"), operated by Options.xyz ("Options.xyz", "we", "us"). By signing in, making a call or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.

We may update these Terms. When we do, we'll change the effective date above and, for material changes, give notice on the Service. Using the Service after a change takes effect means you accept the updated Terms.

2. Eligibility

To use the Service you must:

• be at least 18 years old and able to form a binding contract;
• not be located in, resident in, or organised in any country or region subject to comprehensive sanctions (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk and Luhansk regions), and not be on any sanctions list maintained by the United Nations, the United Kingdom, the European Union, the Cayman Islands or the United States; and
• not be barred from using the Service under the laws that apply to you.

US persons. If you are a US person, or located in, resident in, or organised in the United States, you may use Season 0 for points and with play money, but you are not eligible for any Reward Program (section 5) and will not be able to use future real-money products.

You may not use a VPN or other tool to hide your location to get around these rules. We may add restricted places, ask you to confirm your eligibility, and block or close accounts that we reasonably believe don't meet them. Points earned while ineligible may be removed.

3. Season 0

Season 0 is a free, open-beta preview. You make predictions ("calls"): where Bitcoin will settle at a set time in the free Daily and weekly calls, and, with play money, whether crypto assets and stocks will finish above or below a price by a set time. You earn points for taking part. Season 0 involves no deposits, no wagers, no purchases and no payment of any kind, and nothing you do in Season 0 creates a position in any financial instrument.

Play money. Each eligible account receives one play-money balance for Season 0 (currently $10,000). Play money has no value, is not money, can't be deposited to, topped up, withdrawn, transferred or exchanged, and exists only to score calls. If your balance falls below a threshold we set (currently $1,000), you may be offered a refill, currently up to once every seven days. We may change the starting balance, refill rules or limits, and may reset play-money balances at any time, including at the end of Season 0.

The odds and payouts shown are taken from live options market prices for illustration and to score calls. They are not an offer to buy or sell any option, derivative, security or other financial product.

We plan to launch real-money trading in the future. If and when we do, it will be governed by separate terms, may require identity verification, and may not be available where you live. Season 0 does not give you any right to use future products.

The Service is in active development. Features, rules, rounds, timing and scoring may change, pause or end at any time.

4. Calls and settlement

• Each round has a published close time and settlement time. You can change a call until the round closes; after that it is locked.
• Rounds settle to the official Bitcoin settlement price from current market data for that expiry. Where no such price is available, we use a time-weighted average of the Bitcoin index over the 30 minutes before settlement, or another reasonable source we choose if that fails.
• A call "hits" if it lands within the band shown for that round. Points multipliers are fixed at the market odds when you last locked or changed your call.
• If a price feed, system error, outage or obvious mistake affects a round, we may correct results, re-settle, void the round or adjust points. Our determination of results is final, subject to section 17.

5. Points and rewards

Points measure participation in Season 0. You agree that points:

• have no monetary value, are not money, currency, a security, a token or property, and do not represent any claim on us;
• cannot be bought, sold, transferred, exchanged, lent or redeemed for cash or anything else; and
• may be adjusted, reset, recalculated or removed by us, including to correct errors or respond to abuse.

Points are earned under rules we publish on the Service, which may include daily limits. For example, only a set number of play-money trades each day earn points (currently five, plus one more a day for each friend you referred who has made a trade or call, up to a maximum), and minimum holding times may apply. Calls beyond those limits still count for leaderboards but do not earn points.

We may, in the future, consider Season 0 activity in a token distribution, airdrop or other reward program ("Reward Program"). Any Reward Program is entirely at our discretion and is not promised. If one happens, it will be governed by its own terms, may weigh points and other factors in any way we decide, may require identity verification and acceptance of further terms, and will not be available to US persons, people in restricted places, or anyone who breaks these Terms. Nothing on the Service is a promise that points will convert into tokens or anything of value, and you should not make any call expecting a reward.

You are responsible for any taxes that apply to anything you receive in connection with the Service.

6. Accounts

You sign in through Privy using Google, X or email. You agree to:

• hold only one account, and only for yourself;
• give accurate information and keep your sign-in methods secure; and
• tell us promptly if you think someone has accessed your account without permission.

You are responsible for activity on your account. Your Founding or member number reflects when your account joined; it is a label, not a right or asset.

7. Referrals

You may share your invite or call links and earn points when people you invite join and make calls. A referral only counts once the person you invited has signed in and made at least one call; sign-ups alone earn nothing. Referral points are only earned for real, eligible people acting on their own. You may not spam, buy or sell referrals, use misleading claims, create or recruit fake or duplicate accounts, or advertise in places or ways that break the rules of that platform or the law, including by targeting people in restricted places. We may withhold or remove referral points and close accounts involved in referral abuse.

8. Fair play and acceptable use

You may not:

• use multiple accounts, sybil or farming tactics, bots, scripts or automation to make calls or earn points;
• exploit bugs, errors or timing gaps, or interfere with settlement or pricing data;
• scrape, reverse engineer, overload or attempt to gain unauthorised access to the Service or other users' data;
• impersonate anyone, or use the Service for anything unlawful, fraudulent, harassing or harmful; or
• help anyone else do any of these things.

If you find a bug, please report it to us instead of using it.

9. Public display

Calls, results, points and rankings may appear on public boards. By default we show your X handle partly hidden (for example "@Mi•••er") with your X profile photo, or a partly hidden email address if you didn't sign in with X. You can choose to show your full @handle in My calls. When you share a call card or link, it shows your full handle by your choice. You give us a non-exclusive, worldwide, royalty-free licence to display your handle, profile photo, calls and results on the Service and in share cards for as long as your account exists and for a reasonable time after, so that past rounds stay accurate.

10. Not financial advice

Nothing on the Service is investment, financial, legal or tax advice, or a recommendation to trade anything. Options and other derivatives are complex and carry a high risk of loss. Market data is provided for information only, may be delayed or wrong, and comes from third parties.

11. Third-party services

The Service relies on others, including Privy (sign-in), X and Google (identity), market data providers (current market pricing and settlement data), Vercel and Neon (hosting and storage) and Google Analytics. Their terms and privacy policies apply to your use of them. We aren't responsible for third-party services, sites or content, and links to them aren't endorsements.

12. Our content

The Service, including its software, design, text, graphics and the Options.xyz name and logo, belongs to us or our licensors. We give you a limited, personal, revocable, non-transferable licence to use the Service for its intended purpose under these Terms. If you send us feedback or ideas, we may use them freely without paying you.

13. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy or uninterrupted availability. We do not warrant that the Service, data, odds, settlement prices or scores will be accurate, timely, secure or error-free.

14. Limitation of liability

To the fullest extent permitted by law, Options.xyz and its affiliates, officers, directors, employees and partners will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill, points or expected rewards, arising out of or relating to the Service or these Terms. Our total liability for all claims relating to the Service is limited to one hundred US dollars (US$100).

Some places don't allow certain limits on liability, so some of these limits may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

15. Indemnity

You agree to indemnify and hold harmless Options.xyz and its affiliates, officers, directors, employees and partners from any claims, losses, liabilities and costs (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or your violation of any law or the rights of anyone else.

16. Suspension and termination

You can stop using the Service at any time and ask us to delete your account (see the Privacy Policy). We may suspend or close your account, remove points, or restrict access at any time if we reasonably believe you have broken these Terms, to comply with law, or to protect the Service or its users. We may also change or end Season 0 or the Service. Sections 5, 9 (as to past rounds), 10 and 12 to 18 survive termination.

17. Governing law and disputes

These Terms are governed by the laws of the Cayman Islands, without regard to conflict-of-law rules. Before bringing a claim, you agree to contact us and try to resolve it informally for at least 30 days. Any dispute that isn't resolved will be decided exclusively by the courts of the Cayman Islands, and you and we submit to their jurisdiction.

To the extent permitted by law, claims may only be brought individually, not as a plaintiff or class member in any class, collective or representative action, and must be brought within one year after the claim arose.

18. General

These Terms and the Privacy Policy are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them, including as part of a reorganisation or sale. We aren't responsible for delays or failures caused by events beyond our reasonable control. If these Terms are translated, the English version controls.
